Challenge yourself as part of a dynamic, fast paced team and join BMC Software!  BMC is looking for an experienced Corporate Governance Manager with a proven track record of providing outstanding and timely corporate legal support.  In this role, you will work with cross-functional teams of executives, lawyers, finance, tax, accounting, corporate development, and sales teams to maintain corporate governance challenges.  You will also be responsible for providing support to the corporate secretary and board support related to the various subsidiaries of BMC.  You will be part of a highly-collaborative, close-knit team, and work in an exciting fast paced environment.  

Key Responsibilities:
•Management and administration of 70+ domestic and international subsidiaries, including continuous monitoring and review of all such subsidiaries with respect to entity formation and structure, entity good standing and compliance with applicable laws, preparation of consents and meeting minutes and oversight of filings related to corporate governance and compliance matters, to include state and local filings.
•Independently oversee corporate records and maintain subsidiary minute books for domestic corporate parent entities.
•Maintain and update the global subsidiary list of directors and officers and update domestic subsidiary information in the corporate subsidiary database.
•Assist with quarterly “Know Your Customer”, Anti-Money Laundering and other similar corporate regulatory requirements world-wide.
•Manage and maintain quarterly list and copies of minutes and consents for domestic corporate parent entities in connection with BMC auditor and Controller office review.
•Assist the corporate secretary and manage the materials needed for each quarterly corporate parent board meeting.
•Provide ad hoc support to internal teams for corporate governance-related requests, to include powers of attorney, notarization and apostille requests.
•Assist with management of corporate governance-related correspondence and administrative matters with external service providers, including review and approval of related invoices.
•Conduct due diligence on corporate-related matters in connection with financing and M&A transactions in support of the Chief Corporate Counsel; analyze records to spot issues and utilize judgment to risk assess issues, follow-up, and report as necessary to the Chief Corporate Counsel.

•Bachelor’s degree or equivalent practical experience, with at least 10 years of corporate paralegal or similar corporate governance-related experience; prior public company in-house and law firm experience is a plus.
•Demonstrated proficiency with processes, procedures, workflows, and productivity tools.
•Experience with Microsoft Office Suite, Teams, GEMS database and DocuSign.
•Notary Public designation a plus.
