- Corporate Governance
- Maintain and update corporate records for 30+ global subsidiaries, including minute books, director/officer lists, and compliance trackers. Prepare and file entity formation, dissolution, merger, and restructuring documentation in coordination with tax and legal teams. Track and report on subsidiary changes resulting from M&A activity (e.g., formations, dissolutions, officer changes). Manage correspondence and invoice review for external corporate governance service providers.
- Assist in preparing board and committee meeting materials, including agendas, resolutions, and consents. Track and archive board minutes and approvals; maintain electronic and physical minute books.
- Coordinate director fee schedules and Director & Office (D&O) questionnaires, including liaison with accounting and audit teams for fiscal year-end reporting.
- Support Know Your Customer (KYC), Anti-Money Laundering (AML), and other regulatory compliance efforts by preparing and submitting required documentation. Respond to corporate questionnaires from sales, auditors, and regulators, especially for state and local government clients.
- Manage apostille and notarization processes for international filings and authorizations.
- Support due diligence on corporate records and organizational documents for M&A transactions. Coordinate with internal stakeholders and external counsel to compile closing sets and post-acquisition integration materials. Assist with updates to pledge agreements, security agreements, and other financing-related schedules.
- Compliance & Ethics (C&E)
- Support the C&E training program. Work with training owners and manage compliance training materials. Create the annual training calendar and launch C&E training campaigns. Monitor and prepare reports on the completion status of training. Utilize automated and personal notification tools and reports to ensure employee completion.
- Assist in the development, implementation and ongoing maintenance of corporate policies. Work with policy owners to ensure the periodic review and update of policies.
- Support the C&E HelpLine. Monitor the system for new cases and help with the assignment to the appropriate review team. Track investigative activities to ensure timely completion of reviews. Conduct periodic testing of the Ethics HelpLine and assess the performance of the service provider.
- Support the Privacy HelpLine. Assist with data subjects’ requests and complaints, and conduct associated investigations if necessary.
- Record and maintain data processing activities in BMC Helix’s Records Of Processing Activities (ROPA).
- Support the annual conflict of interest survey process. Assist in the evaluation of reported conflicts and propose solutions to mitigate potential risks.
- Report various metrics that are used in management reporting and in support of the Company’s Environmental, Social, and Governance (ESG) activities.
- Bachelor’s degree and/or Paralegal Certificate from an ABA-approved program.
- 3+ years of experience in a corporate legal department or law firm, preferably in the tech or SaaS sector.
- Strong knowledge of U.S. corporate law, compliance frameworks, and regulatory reporting.
- Team player with demonstrated ability to effectively communicate and collaborate with others.
- Autonomous and organized person, with a desire to work as part of a global team in a fast-paced environment.
- High degree of confidentiality.
- Excellent communication, organizational, and analytical skills.

The annual base salary range represents the low and high end of the BMC salary range for this position. Actual salaries depend on a wide range of factors that are considered in making compensation decisions, including but not limited to skill sets; experience and training, licensure, and certifications; and other business and organizational needs.
The range listed is just one component of BMC's employee compensation package. Other rewards may include a variable plan and country specific benefits.
At BMC, it is not typical for an individual to be hired at /near the top of the range. A reasonable estimate of the current range is $53,925 - $89,875
