Legal Counsel – Product and Commercialization

We are looking for an experienced attorney who has excellent legal and business judgment, as well as a proven track record of providing outstanding and timely legal support.  In this role, you will focus primarily on counseling our product management and engineering teams from the early stages of product development through product launch.  You will work closely with product management, product development, engineering, business strategy and marketing teams, as well as with subject matter experts in the Legal Department, to provide counselling on a wide range of legal topics. We welcome your ideas on how to do things differently and better.  The successful applicant will get to work with a highly-collaborative, close-knit team in an exciting, fast paced environment. 

The position is based at BMC Software’s corporate offices in Houston, Texas; Austin, Texas or Santa Clara, California, and will report to the Vice President of Americas Legal Licensing.

Primary Responsibilities Include:
  • Integrate with product management, engineering and business teams in order to achieve a thorough understanding of how our products, technologies and cloud-based services are being built and used, and then provide wide-ranging advice to clients on effective ways to increase legal viability of their projects from concept through launch.
  • Possess a practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear, concise and commercial advice and creative solutions, on timelines to meet business needs and within the confines of the relevant legal and regulatory landscape.
  • Work closely with the product and engineering teams to advise on new products, features and business initiatives to ensure compliance with contractual and regulatory obligations, including but not limited to data security and privacy.
  • Review, draft, negotiate and provide business focused legal advice on a variety of commercial agreements, including license, SaaS, OEM, professional services, confidentiality and other agreements.
  • Build and support positive relationships with our product development teams and advise multiple levels of management on legal issues. 
  • Ability to work independently, prioritize workloads and communicate with all levels of the organization including senior management.

  • Law degree and 5-7 years of relevant experience at a law firm and/or in house.
  • Licensed to practice, in good standing, in at least one US jurisdiction.
  • Advanced team leadership and project management skills.
  • Advanced communication skills.
  • Understanding of software revenue recognition principles.
