- Provide legal support for treasury and accounting teams on capital markets and finance activities, including the maintenance of credit facilities and other offerings, filings and financing arrangements.
- Coordinate across various departments, including tax, accounting, corporate development, and outside counsel as necessary in connection with M&A transactions throughout the deal cycle.
- Assist in drafting and negotiating M&A documentation including NDAs, LOIs and definitive agreements, conducting corporate due diligence and advising on legal aspects of acquisition integrations.
- Assist with the management and administration of 40+ domestic and international entities, including legal analysis regarding entity formation and structure, preparation of consents and meeting minutes, and oversight of governmental filings related to corporate governance and compliance issues.
- Draft intercompany agreements, and support and advise on internal corporate and tax restructuring efforts.
- Review and advise on external accounting and financial reporting, including annual, quarterly, and current reports and external communications, including press releases, investor presentations and other investor and lender engagement activities.
- Assist the corporate secretary and manage the materials needed for each quarterly corporate parent board meeting
- Advise business units regarding responses to legal and regulatory inquiries including “Know Your Customer”, Anti-Money Laundering and other similar corporate regulatory requirements world-wide.
- Advise benefits team on equity compensation plans and executive compensation documentation.
- Create, maintain, and improve standard form agreements, playbooks, policies, and legal processes.
- Interface on relevant legal matters with colleagues in the United States and abroad.
- You hold a Law degree with 7+ years of relevant experience within a law firm and/or in-house and are licensed to practice, in good standing, in at least one US jurisdiction.
- You have experience advising clients on public company reporting, compliance, and corporate governance matters.
- You are experienced in M&A transactions, including an understanding of M&A structures, deals, documents and legal issues.
- You have knowledge of equity compensation plans and executive compensation documentation.
- Advanced team leadership and project management skills with proven ability to explain complex ideas in a cohesive, clear manner.
- Ability to work independently, prioritize workloads and communicate with all levels of the organization including senior management.

The annual base salary range represents the low and high end of the BMC salary range for this position. Actual salaries depend on a wide range of factors that are considered in making compensation decisions, including but not limited to skill sets; experience and training, licensure, and certifications; and other business and organizational needs.
The range listed is just one component of BMC's employee compensation package. Other rewards may include a variable plan and country specific benefits.
At BMC, it is not typical for an individual to be hired at /near the top of the range. A reasonable estimate of the current range is $149,400 - $249,000
