As the Legal Counsel - Global Procurement, you will focus primarily on the legal review of all procurement agreements worldwide, which cover a wide range of services and products BMC receives from vendors and suppliers.  These may include master services agreements, subcontracting agreements, end user license agreements, hardware agreements and SaaS agreements among others. 

You will work closely with the worldwide Global Procurement team as well as subject matter experts in Assurance, Risk Management, IT, Data Privacy and Tax among others. You will be an active member of BMC’s Supplier Risk Governance Council which reviews and determine the best practices for vendor reviews. The position is based at BMC Software’s corporate offices in Houston, Texas or remote/virtual; and will report to the Product and Privacy Counsel.

Primary responsibilities include:

  • Managing legal matters pertaining to company-wide and business unit specific procurement functions, including providing counsel to the global procurement team on complex transactions, vendor relationships, outsourcing relationships
  • Drafting, negotiating, and advising on a range of procurement engagements and supporting the procurement team secure highly favorable contracts with vendors
  • Working with members of the legal and procurement teams to improve practice and procedures around the procurement contracting process and update contracting forms to ensure completion of procurement projects in a timely manner
  • Helping manage disputes with vendors and suppliers, and support the global procurement team on compliance issues 
  • Reviewing and approving licensing terms governing BMC’s use of third-party open source code
  • Maintaining up-to-date knowledge of the US export laws and advising the company on changes to the regulations, screening companies and names on the denied and restricted parties lists
  • Managing internal document retention requirements as they arise, including maintaining the retention schedules, updating policy as needed, approving destruction notices, and retrieving documents online or offsite when required
  • Providing legal guidance on all the above issues during corporate acquisition due diligence process and assisting with the integration of newly acquired companies into BMC’s procurement system 

Background/Qualifications:
  • Law degree and 5-7 years of relevant experience at a law firm and/or in house.
  • Licensed to practice, in good standing, in at least one US jurisdiction.
  • Advanced communication skills.
